1. Acceptance of Terms

By accessing or using the OpsCom platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you (and your organization, if applicable) and OpsCom ("we," "our," or "us").

2. Description of Services

OpsCom provides an incident reconstruction platform designed to help security operators analyze, correlate, and reconstruct incident data from multiple sources including reports, CCTV footage references, witness statements, and duty logs. The Services include access to our web-based platform, analytical tools, reporting features, and related support services as described on our website and in your applicable order documentation.

3. Account Registration and Eligibility

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security of your account credentials and access methods
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Services in any manner that violates applicable laws, regulations, or legal requirements
  • Upload, submit, or transmit any data that infringes on intellectual property rights or privacy rights of third parties
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Introduce malware, viruses, or other harmful code into our platform
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use automated systems or bots to access our Services without prior written permission
  • Resell, sublicense, or otherwise transfer access to our Services to third parties
  • Use our Services to process data for unauthorized surveillance or monitoring purposes

5. Data Ownership and Rights

You retain ownership of all data, content, and information you upload, submit, or otherwise provide to our Services ("Customer Data"). You represent that you have all necessary rights to the Customer Data and that our processing of Customer Data in accordance with these Terms will not infringe on any third party's rights.

You grant us a limited license to process, store, and analyze Customer Data solely for the purpose of providing and improving our Services to you.

We respect data sovereignty and will only process Customer Data in locations you specify or as required by applicable law.

6. Intellectual Property

The Services, including our platform, software, algorithms, designs, and documentation, are owned by OpsCom and are protected by intellectual property laws. These Terms do not grant you any ownership rights in our Services.

You may not copy, modify, distribute, sell, or lease any part of our Services without prior written permission. Any feedback, suggestions, or recommendations you provide about our Services may be used by us without obligation to you.

7. Fees and Payment

Access to certain Services requires payment of fees as specified in your order form or subscription agreement. Fees are:

  • Due in advance unless otherwise specified
  • Non-refundable except as expressly stated in your agreement
  • Subject to change with 30 days prior written notice

Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. You are responsible for all costs of collection, including reasonable attorney fees.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose such information to any third party except as necessary to perform its obligations under these Terms. "Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation survives termination of these Terms for a period of three (3) years.

9. Warranty Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTIES ABOUT THE COMPLETENESS, RELIABILITY, OR ACCURACY OF ANY ANALYSIS OR REPORT GENERATED THROUGH OUR SERVICES. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OopsCom BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF OopsCom HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO OopsCom DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY ARISING FROM FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

11. Indemnification

You agree to indemnify, defend, and hold harmless OpsCom and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of our Services; (b) your violation of these Terms; (c) your violation of any third party right, including intellectual property or privacy rights; or (d) any claim that your Customer Data caused damage to a third party.

12. Term and Termination

These Terms remain in effect until terminated. You may terminate your account at any time by contacting us or through the account management features on our platform.

We may terminate or suspend your access to our Services immediately, without prior notice, if we believe you have violated these Terms or for any other reason we deem necessary. Upon termination:

  • Your right to access and use the Services will immediately cease
  • We will provide you an opportunity to export your Customer Data within 30 days, unless legally prohibited
  • Any fees owed by you up to the date of termination are non-refundable

Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you hereby consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute by contacting us at dy@opscom.io and providing a description of the dispute. If we are unable to resolve the dispute within 30 days of receiving your notice, either party may pursue formal remedies. This provision does not restrict either party from seeking injunctive relief in court to protect its intellectual property or confidential information.

15. Export Controls

You agree to comply with all applicable export control laws and regulations, including the U.S. Export Administration Regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. export restrictions, and you will not export or re-export our Services to such countries or persons.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using our Services.

17. General Provisions

These Terms constitute the entire agreement between you and OpsCom regarding your use of our Services and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, such provision shall be limited to the minimum scope necessary and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction to any affiliate or in connection with a merger, acquisition, or sale of assets.
